Sylvia is an Associate Director in the Corporate and Merges & Acquisitions Practice Group.
Sylvia's practice encompasses domestic and and cross-border mergers and acquisitions, as well as a wide range of transactional and corporate commercial matters. She advises start-ups, private equity firms and multinational corporations across diverse industries on joint ventures, corporate reorganisations, acquisitions, divestments and funding rounds. This involves providing end-to-end support throughout the transaction’s lifecycle – from conducting legal due diligence to preparing transactional documents and assisting with post-closing implementation and integration.
In addition to transactional work, Sylvia also assists clients with their general corporate advisory matters, including entity formation, corporate governance, regulatory compliance, contract drafting and the legal aspects of day-to-day business operations.
Sylvia regularly advises employers on a full spectrum of employment law issues. This includes employment agreements, terminations and retrenchments, workplace investigations, compliance obligations and the development and review of internal employment handbooks and policies.
Within the healthcare sector, Sylvia has experience advising on regulatory and commercial matters involving biotechnology, medical devices and healthcare services.
- Acted for the majority founder-shareholders of a leading ophthalmology clinic chain in their divestment of a majority equity stake.
- Acted for a Singapore machine maintenance artificial intelligence start-up in its series seed fundraising round by, amongst others, a venture-capital firm dually headquartered in Los Angeles and Singapore.
- Acted for one of the largest resort properties in Singapore in a short-form amalgamation with its affiliated company.
- Acted for a Japanese entertainment group to conduct investigations into the employment practices of its Singapore subsidiary and provided advice in relation to termination of employees in Singapore.
- Acted for a global conglomerate headquartered in Switzerland in preparing and reviewing its distribution agreements with its distributors in Southeast Asia.
